These Terms of Service (the “Terms”) govern your access to and use of InspectorBinder (the “Service”), including our website, application, and related services. The Service is operated by StudyPlanIt (“we,” “us,” or “our”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a business or other entity, you represent and warrant that you have authority to bind that entity, and “you” includes the entity.

Important: InspectorBinder helps you organize compliance tasks and documentation, but it does not provide legal, tax, or regulatory advice and does not guarantee compliance with any law, regulation, permit requirement, or inspection outcome. You are solely responsible for compliance.

Your use of the Service is also subject to our Privacy Policy.

1. Agreement to These Terms

By using the Service, you agree to be bound by these Terms and any policies referenced in them. If you do not agree, you must not use the Service.

We may offer features labeled alpha, beta, preview, early access, or similar. Such features may change without notice and may be discontinued at any time.

2. Accounts; Security; Organization Use

• Account creation: You may need to create an account to access certain features. You agree to provide accurate and complete information.
• Email verification: We may require you to verify your email address.
• Google sign-in: You may sign in via Google. Your use is subject to Google’s terms and policies.
• Security: You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
• Organization use: If multiple users share an organization, administrators and authorized users may be able to view and manage organization data.

3. Service Description; Compliance Disclaimer

InspectorBinder is a compliance management platform intended to help restaurant owners and operators organize locations, track due dates, and store compliance documents.

1. No advice: The Service may present checklists, templates, reminders, and informational outputs. These are for organizational and informational purposes only and are not professional advice.
2. AI-assisted outputs: Some features may generate suggested compliance items using templates and/or AI. AI output may be incomplete, outdated, or inaccurate and must be independently verified.
3. Your responsibility: You remain solely responsible for identifying applicable requirements, meeting deadlines, maintaining documents, and passing inspections.

4. Your Content (Documents); Permissions

The Service allows you to upload and store documents and other content (collectively, “Customer Content”). As between you and us, you retain ownership of Customer Content.

• License to operate: You grant us a non-exclusive license to host, store, process, and display Customer Content solely to provide and improve the Service.
• Permissions: You represent and warrant you have all rights and permissions needed to upload Customer Content and that it does not violate any law or third-party rights.
• Sensitive data: Do not upload highly sensitive personal information unless necessary. You are responsible for what you upload and for complying with applicable laws.
• Removal: We may remove or restrict access to Customer Content if we reasonably believe it violates these Terms or poses risk to the Service or others.

5. Reminders, Notifications, Email, and SMS

The Service may provide reminders and notifications (in-app, email, and optionally SMS). Reminder delivery depends on third-party networks and may be delayed or fail.

5.1 Email + in-app notifications

We may send transactional messages, including account notices, security messages, and due-date reminders. You may not be able to opt out of essential transactional messages.

5.2 SMS notifications (transactional)

If you enable SMS reminders, you consent to receive transactional text messages (e.g., due-date reminders and service-related notices) at the phone number you provide.

• Provider: We use Twilio to send SMS messages.
• Frequency: Varies based on your reminder settings and compliance due dates.
• Charges: Message and data rates may apply.
• Opt-out: Reply STOP to cancel SMS messages.
• Help: Reply HELP or email [email protected].
• Consent: Consent to receive SMS is not a condition of purchase.
• No guarantee: Delivery is not guaranteed and may be affected by your carrier or device.

6. Subscriptions, Trials, Billing, and Refunds

• Trials: We may offer free trials (currently intended as a 14-day trial) subject to change.
• Billing: Paid subscriptions are processed through Stripe. You authorize recurring charges until you cancel.
• Auto-renewal: Subscriptions typically auto-renew unless canceled before the renewal date.
• Taxes: Prices may exclude taxes, which you are responsible for where applicable.
• Refunds: Fees are non-refundable except where required by law.
• Price changes: We may change pricing and will provide reasonable notice where required.

7. Third-Party Services

The Service may integrate with or rely on third-party services. Your use may be subject to their terms and policies.

• Stripe: payment processing and billing portal.
• Twilio: SMS delivery (if enabled).
• Google: Google OAuth for sign-in; Google Maps Places Autocomplete for address entry; Google Analytics on certain public/marketing pages; and Google Gemini for AI-assisted compliance generation.
• YouTube: embedded videos on marketing pages (if applicable).

8. Acceptable Use

You agree not to:

• Use the Service for illegal activities or to violate others’ rights.
• Upload malware, attempt unauthorized access, probe, scan, or test vulnerabilities.
• Reverse engineer, copy, or exploit the Service except as permitted by law.
• Interfere with Service operation, spam, or abuse notifications or messaging features.
• Upload content that is unlawful, infringing, or that you do not have the right to share.

9. Intellectual Property; Feedback

The Service and its content, features, and functionality are owned by us and our licensors and are protected by intellectual property laws.

If you provide feedback, you grant us the right to use it without restriction or compensation.

10. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or to protect the Service and other users.

11. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages.

To the maximum extent permitted by law, our total liability for all claims relating to the Service will not exceed the amounts you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to defend, indemnify, and hold harmless StudyPlanIt and its affiliates from claims, damages, liabilities, and expenses arising from your use of the Service or your violation of these Terms.

14. Governing Law; Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state courts located in Snohomish County, Washington, or (if federal jurisdiction applies) the U.S. District Court for the Western District of Washington.

15. Changes to These Terms

We may update these Terms from time to time. We will update the “Last updated” date above and may provide additional notice as required by law.
